POSITION SUMMARY
We are seeking a highly motivated and detail-oriented Legal Contract Administrator to join our team. The successful candidate will play a crucial role in overseeing the entire contract management process. This role involves drafting, reviewing, negotiating, and managing contracts to ensure compliance with legal requirements and to mitigate risks.
ESSENTIAL FUNCTIONS
Contract Drafting and Review:
- Draft, review, and revise contracts, agreements, and legal documents.
- Ensure contracts are legally sound, accurate, and comply with company policies and industry regulations.
- Collaborate with legal counsel and relevant stakeholders during the drafting process.
Contract Negotiation:
- Facilitate contract negotiations with clients, vendors, and partners.
- Identify potential issues and negotiate favorable terms and conditions.
- Ensure that negotiated agreements align with the organization’s interests.
Contract Management:
- Maintain a centralized contract repository, ensuring all contracts are properly stored, categorized, and accessible.
- Monitor contract timelines, milestones, and renewal dates.
- Track contract changes, amendments, and modifications.
- minimizing legal exposure.
- Effectively manage the contact administration team to facilitate growth and capabilities as required
Compliance and Risk Management:
- Ensure that contracts comply with legal and regulatory requirements.
- Assess and mitigate potential legal risks associated with contract terms and conditions.
- Collaborate with legal counsel to address complex legal issues.
Communication and Collaboration:
- Act as a liaison between various departments, legal teams, and external parties.
- Communicate contract status, changes, and updates to relevant stakeholders.
- Foster positive relationships with clients, vendors, and partners.
- When parties are at an impasse, must be able to communicate the problems and risks to Sr. Mgmt. for any decision making relative to the contract
Contract Administration:
- Administer and enforce contract terms and obligations.
- Handle contract disputes, terminations, and breaches.
- Ensure that contract deliverables are met in a timely manner. Updating contractual policies and procedures as needed to align with current laws
- Conducting legal research to support contract negotiations and development
Document Control:
- Maintain accurate records of contract-related correspondence, documents, and approvals.
- Manage the archiving and retention of contract documentation.
- Maintaining organized records of executed contracts and related documents
POSITION QUALIFICATIONS

- Proven experience in a relevant legal practice area
- Exceptional negotiation and conflict resolution skills
- Proficiency in legal research tools and databases
- Excellent written and verbal communication skills
- Advanced understanding of contract law
- Ability to manage deadlines effectively
- Membership in professional legal associations
- Experience with alternative dispute resolution methods
- Attention to detail and a meticulous approach to reviewing documents
- Excellent legal research, writing, and analytical skills.
- Ability to work independently and as part of a team.
- Ability to work under pressure and handle multiple priorities
- Strong interpersonal and communication skills.
- Must be able to effectively communicate/negotiate effectively on behalf of IIR with external prospect/client counsel as required to facilitate closing / retaining business
SKILLS & ABILITIES
Education: Bachelor’s degree legal studies, Juris Doctor degree from an accredited law school, advanced certifications or specializations in a particular field of law.
Experience:
- Minimum of 5 years of experience practicing law with a focus on contract law and corporate transactions.
Computer Skills:
- Proficiency in legal research tools and software
- Experience with contract management software
