Job Description
Position Summary:
IES is seeking a highly skilled and experienced Senior Counsel (Transactional) to join its corporate legal team. This role will serve as a strategic legal advisor to the parent company and its subsidiaries, with responsibility across a wide range of corporate, transactional, governance, and compliance matters. The ideal candidate will possess deep knowledge of securities law, M&A, corporate governance, and public company legal obligations. This is a critical position offering high visibility across the enterprise and direct interaction with executive leadership, the board of directors, and external stakeholders.
Key Responsibilities:
Securities Law & Corporate Governance
- Draft, review, and manage public company filings including 10-Ks, 10-Qs, 8-Ks, proxy statements, and Section 16 insider trading reports.
- Coordinate and support Board of Directors and committee meetings, including agenda planning, materials preparation, and minutes.
- Ensure ongoing compliance with NASDAQ listing standards and assist in preparation for annual shareholder meetings.
- Design and oversee corporate governance frameworks across all subsidiaries.
- Maintain board structures, delegation of authority documents, and corporate records.
- Drive legal entity rationalization initiatives to optimize subsidiary structure.
- Lead legal aspects of corporate acquisitions, divestitures, and joint ventures.
- Manage cross-functional due diligence teams and negotiate transaction documents.
- Oversee post-closing integration and restructuring activities.
- Provide legal support for corporate finance activities, including credit facilities and other capital transactions.
- Administer equity incentive plans, including annual grant cycles and vesting.
- Collaborate with HR and external consultants on executive compensation and disclosure matters.
- Manage the holding company’s trademark portfolio and advise on brand protection strategies.
- Coordinate regulatory reporting across subsidiaries to ensure consistent enterprise compliance.
- Support internal controls, disclosure processes, and Sarbanes-Oxley compliance at the parent company level.
- Maintain the enterprise-wide Code of Conduct and ethics program.
- Oversee hotline reporting, investigations, and remediation protocols.
- Advise on legal implications of digital initiatives, including data governance, privacy, cybersecurity, and emerging technologies.
Specific Qualifications
J.D. from an accredited law school; active and in good standing with at least one U.S. state bar.- 8+ years of relevant legal experience, preferably with a combination of in-house public company and top-tier law firm experience.
- Strong background in SEC reporting, corporate governance, M&A, and public company compliance.
- Demonstrated experience supporting executive leadership and Board-level matters.
- Exceptional judgment, experience aligning legal strategy with business goals, and the ability to operate independently.
- Excellent communication, writing, and interpersonal skills.
Preferred Qualifications:
- Experience in the construction, engineering, or industrial services sectors.
- Familiarity with digital transformation initiatives and related legal considerations (e.g., cybersecurity, AI, cloud services).
